Terms and Conditions

Welcome to SHIELD X

These Terms and Conditions (“Terms”) govern your use of the services provided by SHIELD X (“we,” “us,” or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Definitions

• “Agreement”: The permanent recruitment services agreement including these Terms and Conditions.
• “Client”: The individual or organization engaging SHIELD X’s services.
• “Applicant”: Any person Introduced to the Client by SHIELD X.
• “Fees”: The compensation payable to SHIELD X as defined in the Agreement.
• “Confidential Information”: Proprietary business information disclosed during the term of the Agreement.

2. Services

SHIELD X provides recruitment services to Clients. Services include the identification and introduction of potential Applicants for permanent positions as specified by the Client.

3. Responsibilities

• Client Responsibilities: The Client agrees to provide clear and complete Mandates, review Introductions diligently, and pay the Fees as stipulated in the Agreement.
• SHIELD X Responsibilities: We will use reasonable skill and care in providing our services but do not guarantee the suitability or accuracy of Applicants.

4. Fees and Payment

• Fees are due as per the terms outlined in the Agreement.
• Payment should be made within fifteen (15) days of receiving the Invoice.
• A penalty interest of 2% per month applies to late payments.

5. Confidentiality

Both Parties agree to maintain the confidentiality of Confidential Information and not disclose it without prior written consent, except as required by law.

6. Data Protection

We comply with the Data Protection Laws and handle personal data in accordance with the legal requirements.

7. Termination

• Termination for Convenience: Either Party may terminate the Agreement with thirty (30) days’ written notice.
• Termination for Breach: The Agreement may be terminated if a Material Breach occurs and is not remedied within thirty (30) days.
• Immediate Termination: The Agreement may be terminated immediately if a Party becomes insolvent.

8. Liability

SHIELD X is not liable for any indirect, special, or consequential damages arising from our services. Our liability is limited to the Fees received for the relevant position.

9. Governing Law

This Agreement is governed by the laws of India. Any disputes will be subject to the jurisdiction of the Courts in Kolkata.

10. Amendments

Any amendments to these Terms must be in writing and signed by authorized representatives of both Parties.
